ShadowEvo Agent Plugins — License & Disclaimers

License. The ShadowEvo Agent plugins (Mixing Assistant, Mastering Assistant, FX, and any later additions — the “Plugins”) are licensed, not sold, to you by Vantage Curation Sole Proprietorship, DBA Vantage Curation ("Vantage Curation") for use inside digital audio workstation software on devices you control. The license is personal, non-exclusive, non-transferable, and tied to your ShadowEvo account. You may not redistribute, resell, sublicense, reverse-engineer, or modify the Plugins except where law expressly permits.

AI guidance is not professional advice. The Plugins include an AI assistant that analyzes audio measurements and suggests or applies processing settings. All suggestions — including anything applied by the Auto feature — are automated estimates, not professional engineering, mixing, or mastering services, and no particular artistic or commercial result is promised. You are solely responsible for reviewing, adjusting, and approving every setting before relying on it, and for keeping backups of your projects.

Audio privacy. The Plugins measure audio locally on your machine. Your audio itself is never uploaded; only compact numeric measurements (for example loudness, peak, and spectral values) and your typed messages are sent to the ShadowEvo service to generate responses, under the same Privacy Policy as the ShadowEvo apps.

Subscription. Chat and Auto features require an active plan that includes plugin access (the Producer plan) and consume metered tokens like every ShadowEvo feature. Audio processing itself (the knobs and modules) keeps working without a subscription; only the AI features are gated.

No warranty. The Plugins are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or compatibility with any particular DAW, operating system, or hardware.

Limitation of liability. To the maximum extent permitted by law, Vantage Curation is not liable for any indirect, incidental, special, consequential, or exemplary damages — including lost profits, lost recordings or projects, studio downtime, or data loss — arising from use of the Plugins. Our total aggregate liability for any claim relating to the Plugins is limited to the amounts you paid for plugin access in the twelve months before the claim arose.

Indemnity. You agree to indemnify Vantage Curation against claims arising from your content, your use of the Plugins in violation of these terms, or your violation of any third-party right, including rights in audio you process.

These terms supplement the ShadowEvo Terms of Service, Privacy Policy, and Acceptable Use Policy, which continue to apply. DRAFT — pending attorney review; the governing language is English.
